Program Participation

Searchipede reserves the right to refuse participation to any applicant at any time in its sole discretion. Multiple accounts held by the same individual or entity are subject to immediate termination. Affiliate may use this account for multiple (NON-incentive) domains and/or websites. All participating websites MUST be in English.

Termination; Cancellation

You may cancel the membership at anytime with or without a cause. Member will not receive payment for earnings if their account has been cancelled. Searchipede reserves the right to terminate this Agreement at any time at its sole discretion if Searchipede deems that too many searches generated by AFFILIATE users are not quality searches and/or are fraudulent in nature and therefore are detrimental to both Searchipede and its Advertisers. Membership will also be cancelled if there are reports of SPAM.

All Users sent by Affiliate must come from a Web page with hyperlinks. Newsgroup postings, e-mail links, ICQ, Instant Message, spamming or any other such practice that could reflect negatively on our program are strictly prohibited. Failure to comply to this request will result in the immediate cancellation of the account from which the clicks were generated and may also result in the forfeiture of any funds owed to that account. The action of sending any hits from any URLs which contain and/or promote the following content: warez, mp3s, ROMs, EMUs, newsgroup postings, SPAM e-mails, or any other site which contains content or promotes activities which are illegal in the United States will result in the immediate cancellation of the account from which the hits were sent and the forfeiture of any funds owed to that account.

Payment Structure

All funds are paid in US funds. Commissions will be paid by paypal or egold. Please note that egold will only be paid AS IT IS AVAILABLE. Generally, Searchipede will make all payouts on or around the 20th of each month.

Searchipede will only pay any commission, referral income and bonus money if we are successful in getting advertiser's payment.We are not liable to pay any member without getting advertiser's payment. Commissions are directly related to the advertising revenue generated by Searchipede.

Returns and deductions may happen at any time. Searchipede will run programs automatively and manually to detect fraud or questionable clicks in real time. Searchipede.com will at no time pay AFFILIATE for searches or clicks that are determined to be fraudulent in nature or detrimental to Searchipede or its Advertisers.

Taxes & Law

Each one is responsible for its own obligations pertaining to municipal, county, state, country income, withholding, sales, or any other tax levied against the moneys paid to each other in the form of advertising revenue and fees paid.

You agree to comply with all local, state, province, country or regional legal restrictions that may be applicable to your membership in Searchipede.

Email Updates and News Letters

As a Member of Searchipede, you agree to receive email notices and news letters from us with information about our services.

Traffic Quality

Affiliates who send an unreasonable amount traffic that falls into any of the following categories are subject to earnings deductions or immediate termination.

Incentivized Clicks: Any clicks that result from direct or implied incentives.
Automated Clicks: Traffic generated (fully or partially) by automated software of any kind.
Blind Traffic: Any method that causes the member to click or display a link without choosing to. Also any method that tricks a user into visiting a page they did not intend.
Proxy Traffic: Traffic resulting from open proxy servers. Any affiliate sending an unrealistic amount of this traffic will forfeit their account.
Limit Defeation: Any methods used to get around traffic quality controls including IP switching and browser manipulation.
Framed Traffic: Visitors cannot be sent contained in an external frame. Searchipede.com must load completely without frames. We consider violation of this policy to be a sign of incentivized clicks.
Non English Websites: All traffic must originate from a website written in the English language.

All valid clicks must be a result of a user performing a search by entering keywords into a search box or clicking on a text link. In either case, the search results displayed must exactly match the keyword phrase being searched. To prevent fraud clicks, only one click from Unique ip in 24 hour will be paid. If the same ip clicks several times in a day, it will be count only once.

Searchipede strictly prohibits members from sending unsolicited mass emails or spam, whether via email, Usenet or any other form. Any member using spamming techniques for soliciting referrals will have their account immediately terminated. The member will not be allowed to open a new account.

Additional Agreements

You shall not, and shall not authorize or encourage any third party to generate fraudulent clicks on any search result, including but not limited to through the use of robots or other automated query tools and/or computer generated search requests, and/or the fraudulent use of other search engine optimization services. Anyone found to be doing so will be terminated and forfeits all earnings and referrals.

You recognize and affirm that you and Searchipede are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this agreement.

Disclaimer of Warranties

Searchipede disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the Searchipede Search Engine results. Searchipede disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material. Searchipede disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the Internet through Searchipede's Services.

ALL MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED IN THE SEARCHIPEDE.COM ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. SEARCHIPEDE.COM EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. SEARCHIPEDE DISCLAIMS ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SEARCH ENGINE. SEARCHIPEDE DISCLAIMS ANY WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SEARCHIPEDE WEBSITE, OR RECEIVED THROUGH ANY LINKS PROVIDED BY THE SEARCHIPEDE SERVICES, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS PROVIDED IN THE SEARCHIPEDE SERVICES.

YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE SEARCHIPEDE SEARCH ENGINE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA.

Limitation of Liability

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER SEARCHIPEDE.COM NOR ANY OF ITS PARENTS, OWNERS, CREATORS, SUBSIDIARIES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS MEMBERSHIP AGREEMENT, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Changes In Terms and Conditions

By applying and/or continuing your membership you confirm that you understand and agree to all terms and conditions. We reserve the right to modify this agreement at any time. Members will be informed of major changes via email. Continued participation in Searchipede following any changes in our terms constitutes acceptance of said changes.
